Terms & Conditions

Definitions

  • Agreement – Refers to the contract, quotation, terms, and all supplementary documentation related to the project.
  • Client Content – Materials such as images or text submitted by the client for use in the project.
  • Deliverables – The agreed-upon outputs our company is responsible for delivering to the client.
  • Designer Tools – Includes all tools, software, fonts, applications, source code, or other solutions created or used by our team, whether subject to patent or not. This also encompasses non-copyrightable components like layout, site navigation, or overall design.
  • Final Deliverables – The finished version of any product or service handed over to the client.
  • Project – Work to be completed under the terms of the agreement between our company and the client.
  • Services – All work performed for the client under the proposal and agreement.
  • Third Party Materials – Assets sourced from external providers, including stock photos, illustrations, and other third-party resources used in the project.

Development Services

We commit to delivering all development tasks as outlined in the project proposal and formal agreement, following the specified milestones.

Proposal / Scope of Work

Each proposal is valid for 30 calendar days from the date the client receives it. If not accepted within this timeframe, we reserve the right to update and resubmit it for reapproval.

Compensation

  • Additional Costs – Charges for external services will be invoiced separately from our development fees.
  • Expenses – All incurred expenses will be billed at cost to the client.
  • Fees – The client is responsible for paying all applicable service fees and taxes as defined in the project plan.

Payment

  • Invoices – Payments must be made within 5 days of receiving an invoice. Each invoice will specify development fees, expenses, and any applicable third-party costs.
  • Payment Schedule – Payments must be made according to the project’s payment schedule and agreed milestones.

Changes to Project Scope

  • Change Request – Clients must submit any desired modifications in writing. We will respond within 5 business days, including updated timelines and any associated costs.
  • Minor Changes – Changes under 20% of the total project cost or deemed minor will be billed at our regular hourly rate. Any timeline adjustments will be communicated. Extra charges may exceed previous cost caps.
  • Major Changes – Modifications exceeding 20% of the original scope or deemed major will require a new proposal. Work will not resume until the updated agreement is signed.
  • Acceptance of Proposals – Clients must approve any proposal within 14 business days. If no approval is given, we are not obliged to perform additional work.

Delays

  • Delays by the Client – If the client does not provide necessary materials, approvals, or responses on time, milestone deadlines will be extended day-for-day to accommodate the delay.
  • Delays by Us – If our team is responsible for a delay, we will inform the client promptly via email.
  • Delays by Others – Uncontrollable events such as natural disasters, strikes, wars, or government actions will not be considered breaches of contract and will lead to corresponding extensions of deadlines.

Evaluation and Acceptance

  • Testing – Before submission, deliverables will undergo standard industry testing practices to ensure functionality and quality.
  • Approval Periods – The client has 7 working days to approve or reject deliverables. Any rejection must include a written explanation. We have 14 working days to make corrections, followed by another 7-day review period by the client.

Client Responsibilities

The client must act cooperatively and promptly, particularly in:

  • Providing content compatible with the intended deliverables unless otherwise agreed;
  • Ensuring all submitted materials have been proofread and finalized—additional edits will incur a fee;
  • Making timely decisions regarding third-party elements.

Accreditation and Promotion

  • Accreditation – Unless otherwise stated in the initial agreement, we may include a credit link on completed deliverables.
  • Promotion – We reserve the right to showcase completed work in our marketing materials such as case studies, portfolios, and galleries.
  • Promotional Approval – Both parties agree not to unreasonably block publication of project details and should allow links to the other party’s site.

Confidential Information

All information deemed confidential by either party will be treated accordingly. Such data will not be disclosed to third parties. However, information already public, known before disclosure, or legally obtained from another source is not considered confidential.

Relationships

  • Agents – If we involve subcontractors or third parties in a project, we remain fully accountable for all deliverables.
  • Exclusivity – Our cooperation with clients is non-exclusive. Both parties are free to engage in work with other partners.
  • Independent Contractor – We act as an independent entity. No employer-employee, agency, or partnership relationship is implied between the client and our company. All rights and responsibilities are governed solely by the terms of the agreement. Our deliverables are not classified as “work made for hire” under copyright law.

Liability

We are not responsible for any damages or losses incurred by the client. Our services are delivered “as is,” and our maximum liability is limited to the total amount paid by the client for the services.

Rights for Work Produced

License – The client receives a non-exclusive, perpetual, global license to use the deliverables in their agreed form. No modifications, partial use, or derivative works are permitted without our written consent.

Support Services

Warranty Periods – We offer commercially reasonable support for corrections, updates, and maintenance. This support will be billed at our standard hourly rates. However, if any deliverables are altered or interfered with by a third party, we are no longer liable for future issues.

We reserve the right to modify these Terms and Conditions at any time. Continued use of this site or our services constitutes agreement to any updated versions.
